Abstract: | 專利授權契約非為民法上典型之有名契約,於契約爭議發生時,若契約內容有缺漏或未約定,而相關智慧財產權法亦無規定時,即應回歸適用民法。藉由專利授權契約之法律性質、契約類型和契約條款之分析,進一步準用、適用或類推適用民法之相關規定,以解決當事人間之爭議。專利授權契約之訂定,確立雙方當事人之權利義務和違約責任,義務之約定為保障權利之行使,並以違約金之賠償責任,保障損失之填補;若專利權遭受第三人侵害時,應依契約類型行使權利救濟,並藉由雙方當事人約定之協力義務、訴訟參加等方式,於同一訴訟程序中,共同維護專利權,避免裁判矛盾、重複賠償等問題。 A Patent Licensing Agreement is not a typical familiar contract under the Civil Code. When a contract dispute occurs, the Civil Code shall apply if the contract content is inadequate or missing, and are not provided for in the relevant intellectual property laws. Relevant provisions of the Civil Code are further approved, applied or analogized by analyzing the legal nature, contract type and contract terms of the Patent Licensing Agreement, in order to resolve disputes between parties. The establishment of the Patent Licensing Agreement recognizes rights and obligations of the parties and their liability for breach of contract. The obligation is to guarantee the exercise of the rights and compensation for loss by the liability for liquidated damages. If patent rights are infringed by a third party, rights to relief shall be exercised based on the contract type and both parties shall jointly uphold patent rights in the same litigation process by agreed obligation to assist and intervene, in order to avoid conflicting judgments and duplication of compensation. |
