Abstract: 家族企業在全球均為主要的企業型態,家族企業是半世紀以來台灣、香港、東南亞,乃至中國大陸經濟成長的功臣。第一代的企業家以大半生的心血成就事業;當他們年華老去,面臨的是一個一生只有一次、但艱鉅異常的挑戰:也就是將家族企業與財富交託給下一代。台灣三十大集團中,多數由特定家族所持股控制或經營管理,但有近六成的集團負責人没有明確接班計劃。
本研究的動機來自於家族企業的治理與傳承確實是一個難解的問題;根據研究發現,華人企業傳承過程中的平均市值損失高達60%;對家族而言,不但是嚴重且無法恢復的長期損失,對區域經濟的整體表現亦有重大的影響。
本研究採研究個案分析法,研究核心為探討台塑集團的家族企業治理與傳承,其創辦人王永慶先生生前所成立以維護家族企業集團共有共治的控股單位長庚醫療財團法人,在政府法令對醫療財團法人管制規範趨嚴的情況下,原長庚醫療財團法人在台塑集團的角色需重新定位。本人並提出其他家族企業傳承方式的建議,如成立信託帳戶、雙層股權結構與閉鎖性控股公司,以確保家族成員繼續擁有其對家族企業的控制權。
Family Business is one of the most common forms of business model in the world. In the past 50 years, Family Business contributed to the economic growth in Taiwan, Hong Kong, Southeast Asia, and China. Their funders devoted themselves to Family Business and finally face the challenge of succession. In Taiwan, many of the largest 30 business groups are controlled by specific families. However, around 60% of them do not have clear succession plans. The study is motivated by the fact that the succession of Family Business is a difficult task.
This study applies the case study approach to analyze the succession of Formosa Plastics Group. Chang Gung Medical Foundation was funded to sustain the family control over the group. Due to the change of regulations on Medical Foundations, we would like to clarify its re-position or reorganization, tax, and other impacts.
