公司網路籌資之研究——以公司經營角度切入觀察

Abstract

自2008 年全球金融海嘯後，新興事業紛紛興起，並透過網路開始進行不同類型的創新與整合，舉凡電子第三方支付的支付寶、共享經濟的UBER…等等，皆為透過網路整合下，與傳統產業類型迥異的新興種類公司型態。新興事業或新創公司在起步時資金需求度高，然而傳統的公司籌資方式如向銀行借貸、或尋求風投或天使投資人的資助對於這類型的新興事業屬於高度門檻，造成新創公司籌資不易，是以自從群眾募資此等新型網路籌資的方式在全球興起後，世界各地皆紛紛立法開放新創事業的籌資得以使用群眾募資的方式進行，以增加公司籌資的彈性。 美國雖於2012 年即通過JOBS 法案，惟至2016 年5 月16 日才正式實施 JOBS 法案第三編真正股權性質的群眾募資。而與其他國家立法例不同的是，我國係採取行政函令的方式開放股權性質的群眾募資，並未對證券交易法進行修法。本文以公司經營的角度介紹新型網路籌資與傳統籌資方式之不同，並以實證之角度觀察至2016 年7 月為止，我國與美國的股權性質群眾募資的市場概況如何，並以公司經營的角度去了解公司在面對網路籌資的新型籌資方式時所會面臨的問題。

Crowdfunding is an evolving novel method of raising capital that has been used to raise funds through the Internet for a variety of projects or startups. To encourage funding of United States small businesses by easing various securities regulations, the Jumpstart Our Business Startups Act (or JOBS Act) has passed with bipartisan support, and was signed into law by President Barack Obama on April 5, 2012. The Title III CROWDFUNDING ACT, however, was formally implemented until 2016.5.16. Compare with US, Taiwan start equity crowdfunding through administrative regulations instead of amending the law at 2015. The study provided the data of the equity crowdfunding market of US and Taiwan and study the problem the startups may come across when adopting equity crowdfunding through the startups’ point of view.
