加盟店契約之研究－我國與DCFR之比較

Abstract

本文共分為五章節，以下將先就我國加盟店契約之相關概念為介紹及說明後，進一步就行政院經濟部商業司頒佈之「加盟契約範本」進行逐條分析，以期能將加盟店契約當事人間權利義務關係進行分類。 次就「共同參考架構草案」（DCFR）之出現進行簡要介紹，再逐條項分析DCFR中與加盟店契約相關之篇章、規範，並詳盡介紹DCFR中與告知義務有關部分，最後將我國加盟契約範本與DCFR進行比較與探討，希能歸納同異之處，並對我國未來之加盟店法律關係相關法制規範，提出有助益之建議。

This article is divided into five chapters. The following will introduce the relevant concepts of the franchise contract in Taiwan first, and further more conduct a detailed analysis on the 'Model Contract of Franchise' promulgated by Department of Commerce, MOEA, Executive Yuan. Hoping to build up a comprehensive view to the rights and obligations between the parties of franchise contract. After briefly introducing the history of DCFR, this article analyzes the chapters and norms related to franchise contract in DCFR and introduces the part of DCFR related to disclosure obligation as well. Finally, we compared the 'Model Contract of Franchise' and DCFR; in order to sum up the similarities and differences between them, wishing to bring forward helpful suggestions to the future legislation.
