| 摘要: | 本研究以馬來西亞國營企業公司治理議題為背景,聚焦於一馬公司事件,並旨在分析該事件對馬來西亞國營企業的公司治理造成的影響。本研究的目的在於提供有關馬來西亞國營企業公司治理的深入理解,並針對其機制缺失提出改革策略和建議。
在文獻回顧部分,本文首先闡述了公司治理的定義和理論基礎,接著探討了國營企業的定義以及其公司治理特點。針對馬來西亞國營企業的情況,我們介紹了該國國營企業的背景和公司治理結構,以及相關的監管框架。在一馬公司事件分析中,本文深入研究了該公司成立的背景、組織結構、事件發生過程及緣由,並進一步分析了它對馬來西亞國營企業公司治理的影響。 本研究發現,一馬公司事件揭示了馬來西亞國營企業公司治理機制的缺失。這一事件凸顯了公司治理制度中的漏洞。這些缺陷對國營企業的經營和財務狀況產生了重大的影響,並對馬來西亞整體經濟造成了負面衝擊。基於一馬公司事件的經驗教訓,我們進行了公司治理改革的比較分析,尤其聚焦於馬來西亞和新加坡兩國國營企業的比較,並以新加坡的Temasek作為案例研究,探討其成功的治理改革模式。最後,我們提出了策略和建議,旨在解決馬來西亞國營企業公司治理所面臨的缺失問題,並進一步討論了這些改革策略可能面臨的挑戰和影響。 總結而言,本研究旨在為馬來西亞國營企業的公司治理議題提供深入的分析和理解,希望能藉此研究結果為未來的研究和政策制定提供有價值的參考。 This study focuses on the corporate governance issues of state-owned enterprises in Malaysia, with a specific focus on the 1MDB scandal, aiming to analyze its impact on the corporate governance of such entities. The purpose of this research is to provide an in-depth understanding of corporate governance in Malaysian state-owned enterprises and propose reform strategies and recommendations to address the existing deficiencies. The literature review section begins by defining corporate governance and discussing its theoretical foundations. It further explores the definition and distinctive features of state-owned enterprises, with a particular emphasis on the Malaysian context. This section also introduces the background and corporate governance structure of state-owned enterprises in Malaysia, along with the relevant regulatory frameworks. In the analysis of the 1MDB scandal, this study delves into the establishment background, organizational structure, narrative of the event and the causes behind the occurrence of the scandal. The impact on corporate governance in Malaysian state-owned enterprises is further analyzed. The research findings reveal significant deficiencies in the corporate governance mechanisms of Malaysian state-owned enterprises exposed by the 1MDB scandal. This event highlights the flaws within the corporate governance system, which have had a substantial impact on the operations and financial conditions of state-owned enterprises, as well as negative implications for Malaysia's overall economy. Drawing from the lessons learned from the 1MDB scandal, a comparative analysis of corporate governance reforms is conducted, focusing specifically on Malaysia and Singapore's state-owned enterprises. The successful governance reform model of Temasek Holdings in Singapore is presented as a case study. Finally, this study proposes strategies and recommendations to address the deficiencies in corporate governance faced by Malaysian state-owned enterprises. The potential challenges and implications of these reform strategies are further discussed. In conclusion, this research provides a comprehensive analysis and understanding of corporate governance issues in Malaysian state-owned enterprises. The findings aim to contribute valuable insights for future research and policy-making. |
