| dc.description.abstract | 管理組織間關係是近代組織理論探討的重點之一,從交易成本理論發展至今,關於組織間的關係也從單純的買賣或是整直整合,直到現在有了各種混合的型態,例如合資、策略聯盟、加盟等,除了透過市場機制或是內部控制外,各種研究也指出許多非正式的機制像信任、鑲嵌的網絡以及聲譽等,影響組織間關係更加深遠,也使得組織間有更加豐富的工具來降低彼此在交易上的各種風險及幫助維持穩定的合作。
受到整個社會制度及歷史文化的影響,西方國家向來習於依賴法制,因此在交易過程中,正式「契約」一直扮演重要的角色,契約是締約雙方將自己的意思書面化的過程,因此捍衛契約的執行就是保障彼此意思的實現,許多研究已經指出,透過契約來管理交易是常見且必要的做法。然而,如此的契約精神卻未必相容於華人的商業社會,華人向來習慣遇事先溝通,而且受到儒家文化影響,強調和諧的人際關係而抗拒興訟,認為法律是萬不得已下才使用的工具,正因這種對待法律的根本上不同,華人使用契約的方式和態度也自然和西方人所認知的契約有所差異了。 台灣向來是個重視對外貿易的國家,隨著國際化的潮流,台灣企業和西方的交易不僅頻繁,而且有著越來越多元的合作型態,了解東西方管理組織間關係的手法差異變成重要的課題,本研究將首先對西方社會數十年對於交易成本、契約等發展做一個回顧之後,為了比較出東西方差異,同時能精緻的描繪出台灣中小企業的運作方式,採用個案研究的方式,探討台灣企業在交易上主要治理結構的選擇為何,受那些因素影響;其次,搭配在這樣的治理結構底下,實質上透過那一些機制處理交易問題;最後本文還會進一步討論契約在台灣企業的交易中扮演何種角色,而面對國際化,東西方交流後,又可能產生那些轉變。 為了能深入了解這些問題,本文透過實地訪問五家台灣企業的企業主,他們同時有和國內企業及國外企業合作的經驗,明顯的感受到東西方交易上的差異。經由他們的分享,本文首先發現因為和長期和西方合作的影響,契約的使用在台灣是普遍的。但是,對台灣企業而言,交易前的層層把關比起契約的簽定本身更為重要,因為契約的描述性意義大於執行性,而隨著書面契約的使用增加,對越是小型的組織而言,過於制度化的契約條款設計,反而有可能阻礙交易進行。長期合作的建立不是依賴契約,也不用複雜的契約條款,而是透過非正式的信任及網絡關係。而台灣由於多數是中小企業,因此企業主的人格特質會直接影響交易,老闆的人際網絡就是公司的經濟網絡,但若是大型組織,人情或關係能發揮的作用就越有限。 根據本文觀察結果,目前契約在台灣的交易上仍只是形式意義,這多少是因 為我國受限於交易地位,通常只能被動接受西方單方面的契約規定有關,儘管契約精神並未在我國落實,但台灣企業也自有一套交易模式,透過互助和信任的情感交流,共同實現經濟利益。其實組織間的管理終究離不開「情、理、法」三個字,只不過巧妙各不相同,無法明確指出孰優孰劣,西方人重法,台灣人重情,於是發展出不同的交易機制。然而面對和西方的合作,理解西方的契約制度確實是重要的,適度的增加法律的元素是企業主們應該學習的課題,而對內和台灣企業的合作,長久建立的合作默契雖然看似無形,卻是保障交易進行的最佳工具。 | zh_TW |
| dc.description.abstract | This thesis examines how businessmen in Taiwan textile industry rely on assorted mechanisms to govern their international transactions and collaborations, and further compares and contrasts the reduced role and functions of formal contract in Taiwanese business practices with Western counterparts where legal contract enforced through litigation remains the major architecture underlying business transactions. The research first identifies three major problems, i.e., adaptation, safeguarding, and performance evaluation, associated with inter-organizational transactions and collaborations, and then discusses how various contracting laws and governance structures are applied and chosen to govern the transactions. Various applicable mechanisms including economic, legal, and social ones are then identified and discussed the contingencies where they can be most applicable. A research framework associating transaction attributes and governance mechanisms is then generated and tested on five case studies on Taiwan textile industry. Our research findings show that, different from Western counterparts, extra-legal mechanisms and social mechanisms in particular are most functional in Taiwan business practices where relationships, reputation, and long-term orientation are more emphasized and respected in business community. | en |
