| 摘要: | 近年來,隨著 AI / HPC晶片運算需求爆炸性成長,先進封裝已成為半導體產業之關鍵瓶頸與價值重心,「整合式交付管理服務」(Turnkey service)成為主導趨勢。過往委外半導體封裝測試廠(Outsourced Semiconductor Assembly and Testing, OSAT)業者以逐段委外之 「外包」模式承接客戶需求,然此模式於先進封裝時代已逐漸失效─當異質整合封裝之資產專屬性與良率不確定性同時升高時,跨環節之協調成本急劇上升,OSAT 業者必須自單環節代工商轉型為承擔跨環節整合責任之Turnkey供應商。本研究以全球前兩大專業封測代工廠─日月光投資控股股份有限公司(ASE Technology Holding, ASE)與矽品精密工業股份有限公司(Siliconware Precision Industries, SPIL)─為個案,探討此兩家公司於先進封裝情境下如何透過Turnkey 整合模式建立長期競爭優勢,並提出對台灣封測產業之管理意涵。
本研究採用質化雙個案比較之個案研究法(Yin, 2018;Eisenhardt, 1989),以次級資料為主要研究基礎,運用 Osterwalder等(2014)之價值主張圖(VPC)、Osterwalder 與 Pigneur(2010)之商業模式九宮格(BMC)、Adner(2017)之生態系競爭策略、Barney(1991, 1995)之 VRIO 框架、Porter(1980)之五力分析,以及 Williamson(1981)之交易成本理論等六項理論工具,來對兩家公司進行邏輯系統性的分析比較。第二章建立理論基礎;第三章分析先進封裝產業結構並以三條理論線推導 Turnkey之必然性;第四章依序運用 VPC / BMC / Adner / VRIO / Turnkey 治理機制與四維度 / 集團內資源整合等分析工具展開個案比較;第五章歸納結論並提出管理意涵。 研究結論可歸納為五項主要發現。前三項回應本研究之三項研究問題:(1)Outsourcing 與 Turnkey 於治理機制、整合責任與策略意圖上存在本質差異,而先進封裝之資產專屬性、不確定性與多邊網絡協調需求,共同構成 Turnkey 整合為必然趨勢之三條理論基礎;(2)日月光以 ATM+EMS 雙引擎走出「廣度規模型」整合,扮演生態系中之廣度整合者與協調者角色,形成網路經濟型競爭優勢;矽品以後段四環節走出「深度敏捷型」整合,扮演生態系中之深度技術者與專精執行者角色,形成技術門檻型競爭優勢,展現 OSAT 業者依自身資源稟賦選擇整合路徑之彈性管理原則;(3)OSAT 業者於先進封裝時代之長期競爭優勢源自三層生態系協作─與晶圓廠、與設備物料供應商、以及與集團內及地緣夥伴之協作。後兩項為超出原始研究設計預期之延伸發現:(4)本研究最具實務意涵之發現─日月光與矽品對晶圓廠 oS Turnkey 外溢訂單顯著偏好,甚至超越自家全自主Turnkey 業務之偏好,反映理論上「替代品威脅」轉化為實務上「樂於承接之優質訂單」之認知反差;(5)日月光投控之雙品牌策略仍有待加強,資源尚未完全互通,且此一集團內資源協同之強化具高度時間敏感性─若無法於 AI 急單時機加速產能開出,將面臨市占率被競爭對手結構性侵蝕之風險,因此雙品牌互補定位之逐步形成應被列為當前最緊迫之策略行動。 本研究之理論延伸貢獻主要有二。第一,本研究提出以「Turnkey業務管理策略之四維度框架」(全流程產能整合與治理、供應鏈與載板治理、責任邊界與風險管理、客戶結構與市場定位)進行OSAT業者之系統性比較,補強現有文獻對Turnkey治理實務層面之分析深度。第二,本研究揭示先進封裝「異質整合」情境之特殊性─於整合式交付管理運作中,OSAT 與晶圓廠之關係無法單純以 Porter(1980)五力框架之「替代品威脅」定性;由於單一晶片須由晶圓廠之晶圓級製程(CoW)與外溢訂單之 OSAT 基板組裝與最終測試(oS)分工協作方能共同交付,兩者實為互補共生。本研究援引 Brandenburger 與 Nalebuff(1995)之 Value Net 框架與 Adner(2006, 2017)之生態系觀點(此類「互補者 / 競合關係」(Complementors / Coopetition)於既有文獻中已被視為傳統五力之外之第六作用力),並指出異質整合之技術結構使此一互補 / 競合關係在 OSAT 與晶圓廠之間表現得尤為顯著,從而為 OSAT 業者「與晶圓廠互補而非對抗」之策略定位提供堅實理論基礎;並提出對OSAT業者、集團經營者與台灣封測產業之四項具體管理意涵─從成本競爭轉向整合競爭、依資源稟賦選擇整合路徑、強化生態系與聚落彈性(結合地理多角化與設備物料策略聯盟),以及積極接受晶圓廠之互補以外溢承接深化生態系角色。 In recent years, driven by the explosive computing demand of AI and HPC chips, advanced packaging has emerged as the critical bottleneck and value core of the semiconductor industry, with the “Turnkey service” becoming the dominant trend. Historically, Taiwanese Outsourced Semiconductor Assembly and Testing (OSAT) providers have served customer demand through the traditional Outsourcing model of segment-by-segment subcontracting. However, this model has become increasingly ineffective in the advanced packaging era—when both asset specificity of heterogeneous integration and yield uncertainty rise simultaneously, cross-segment coordination costs escalate sharply, compelling OSAT providers to transform from single-segment foundries into Turnkey suppliers who take on cross-segment integration responsibilities. This study examines two of the world's largest OSAT companies—ASE Technology Holding (ASE) and Siliconware Precision Industries (SPIL)—as case studies to investigate how they establish long-term competitive advantage through Turnkey integration in advanced packaging contexts, and to derive managerial implications for Taiwan's semiconductor packaging and testing industry. This study employs a qualitative dual-case comparative case study method (Yin, 2018; Eisenhardt, 1989) with secondary data as its primary evidence base. Six theoretical frameworks are systematically applied to conduct parallel comparison of the two firms—Value Proposition Canvas (Osterwalder et al., 2014), Business Model Canvas (Osterwalder & Pigneur, 2010), Adner's (2017) ecosystem competitive strategy, Barney's (1991, 1995) VRIO framework, Porter's (1980) Five Forces analysis, and Williamson's (1981) transaction cost theory Chapter Two establishes the theoretical foundation; Chapter Three analyzes the advanced packaging industry structure and derives the necessity of Turnkey integration through three theoretical threads; Chapter Four sequentially applies analytical tools including VPC, BMC, Adner's ecosystem strategy, VRIO, Turnkey governance mechanism and four-dimensional comparison, and intra-group resource integration to compare the two firms; Chapter Five synthesizes conclusions and proposes managerial implications. The study derives five main conclusions. The first three respond to the study's three research questions: (1) Outsourcing and Turnkey differ fundamentally in governance mechanism, integration responsibility, and strategic intent; the high asset specificity, uncertainty, and multi-party network coordination requirements of advanced packaging together constitute the three theoretical foundations of Turnkey integration as an inevitable trend; (2) ASE pursues a “breadth-and-scale” integration through its ATM+EMS dual-engine, playing the ecosystem role of breadth integrator and coordinator with a network-economy competitive advantage; SPIL pursues a “depth-and-agility” integration through its back-end four-segment operations, playing the role of deep technology specialist and expert executor with a technology-barrier competitive advantage—demonstrating the principle of flexible management by which OSAT firms select integration paths according to their own resource endowment; (3) OSAT's long-term competitive advantage in the advanced packaging era arises from three layers of ecosystem collaboration—with foundries, with upstream equipment and material suppliers, and with intra-group and geographic partners. The last two are extended findings beyond the original research design: (4) the study's most managerially significant finding—both ASE and SPIL show a marked preference for foundries' overflow oS Turnkey orders, even exceeding their preference for their own fully autonomous Turnkey business, revealing a cognitive contrast in which a theoretical “substitute threat” transforms into practically “preferred quality orders”; (5) the dual-brand strategy of ASE Technology Holding still requires strengthening as intra-group resource integration remains incomplete; furthermore, this strengthening of intra-group resource coordination exhibits high time sensitivity—should the group fail to accelerate capacity ramp-up during the AI urgent-order window, it risks structural erosion of market share by competitors, making the progressive formation of dual-brand complementarity the most urgent strategic action of the moment. This study offers two main theoretical extension. First, it proposes a “Four-Dimensional Framework of Turnkey Business Management Strategy”—covering end-to-end capacity integration and governance, supply chain and substrate governance, liability boundary and risk management, and customer structure and market positioning—to systematically compare OSAT firms, complementing the existing literature on Turnkey governance practice. Second, this study highlights the distinctive nature of heterogeneous integration in advanced packaging: in the Turnkey operation, the OSAT-foundry relationship cannot be characterized solely as a “substitute threat,” because a single chip can only be delivered through the division of labor between the foundry's wafer-level process (CoW) and the overflow orders for OSAT's substrate assembly and final test (oS), rendering the two complementary and symbiotic. Drawing on Brandenburger and Nalebuff's (1995) Value Net framework and Adner's (2006, 2017) ecosystem perspectives—under which such a “Complementors / Coopetition” force (the sixth force) beyond the traditional five forces has already been recognized—the study argues that the technical structure of heterogeneous integration makes this complementary and co-opetitive relationship especially pronounced between OSAT and foundry, thereby providing a solid foundation for OSAT's strategic positioning of “complementarity rather than confrontation with foundries”; furthermore, the study proposes four concrete managerial implications for OSAT firms, group executives, and Taiwan's semiconductor packaging and testing industry: shifting from cost competition to integration competition, selecting integration paths based on resource endowment, strengthening ecosystem and cluster resilience (combining geographic diversification with equipment-and-material strategic alliances), and actively embracing complementarity with foundries by deepening ecosystem roles through absorbing overflow orders. |
