Limitation of liability clauses are commonly used risk-allocation mechanisms in modern transactions. By limiting or excluding liability for damages that would otherwise arise under the law, such clauses enable parties to control risks, reduce transaction costs, and enhance legal certainty. However, while they reflect the principles of private autonomy and freedom of contract, they may also weaken the protection afforded to creditors and injured parties. In such cases, an important question arises as to whether a claimant may avoid a contractual limitation of liability clause by bringing a tort claim.
This thesis examines the concept, functions, and validity of limitation of liability clauses. It argues that these clauses serve not merely to protect debtors but to facilitate transactions through ex ante risk allocation. Although freedom of contract should generally be respected, limitation of liability clauses remain subject to mandatory rules and public policy considerations. In consumer standard-form contracts, stricter judicial scrutiny is justified due to disparities in information and bargaining power. In commercial standard-form contracts, however, courts should generally respect the parties’ allocation of risks and exercise a lower degree of intervention.
Regarding the concurrence of contractual and tortious liability, this thesis argues that Taiwanese law should adopt the theory of mutual influence between claims. While contractual and tortious claims may coexist, valid contractual limitations of liability should, to an appropriate extent, affect tort liability in order to preserve the parties’ agreed allocation of risks. Whether a limitation of liability clause extends to tort claims should ultimately be determined through contractual interpretation. Where a clause is directed at a particular risk or type of loss, it should generally be interpreted as covering all liabilities arising from that risk, regardless of the legal basis of the claim. Such an approach strikes a balance between freedom of contract and the protection of injured parties while preserving the risk-allocation function of limitation of liability clauses.
