| 摘要: | 隨著貿易、資本與人口流動全球化,跨國法律服務需求快速成長,律師事務所面臨如何兼顧國際擴張、在地化專業與經濟效益之挑戰。本文以國際大型律師事務所為研究對象,探討其所採行之「瑞士協會架構」(Swiss Association)在跨國布局中的制度功能與風險,透過聯盟迅速建立全球服務網絡,以回應客戶對一條龍跨境法律服務之需求,並藉由法律與財務獨立性達成風險隔離,同時保留各地經營自主權與人脈優勢,可兼顧全球一體化與在地適應。
然而,本文亦從實際案例中發現,法院於利益衝突判定時,可能實質上將整體協會視為單一實體,從而提高跨境執業之法律責任風險。此外,不同法律制度、文化與管理模式間的衝突,亦可能削弱該架構之治理效果,由此可見律師事務所之經營與管理,不僅繫諸於組織形式,亦應兼及全球治理思維、利益衝突控管與人才交流機制,方能同時維持在地專業,以確保品牌一致性與服務品質。 With the globalization of trade, capital, and population flows, the demand for cross-border legal services has grown rapidly, presenting law firms with the challenge of balancing international expansion, localized expertise, and economic efficiency. This thesis examines major international law firms and explores the institutional functions and risks of the "Swiss Association" structure in their multinational operations. Through such alliances, firms can quickly establish a global service network to meet clients’ demand for comprehensive cross-border legal services, while achieving risk isolation via legal and financial independence, and retaining local operational autonomy and network advantages—thus balancing "global integration" with "local adaptation." However, this thesis also finds from practical cases that courts, when assessing conflicts of interest, may effectively treat the association as a single entity, thereby increasing the legal liability risk of cross-border practice. Moreover, conflicts arising from different legal systems, cultures, and management models may undermine the governance effectiveness of this structure. These observations suggest that law firm management and operations depend not only on organizational form but also on global governance thinking, conflict-of-interest controls, and talent exchange mechanisms, in order to maintain local expertise while ensuring brand consistency and service quality. |
