dc.description.abstract | 交通部與台灣高鐵公司於104年7月27日簽署「高鐵興建營運合約增修協議書」與「高鐵站區開發合約終止協議書」,泛公股持有台灣高鐵公司63.5%股權,「高鐵財務解決方案」正式啟動。雙方後續於104年8月上旬與融資銀行團完成新的融資協議增修協議書,讓台灣高鐵公司存放在銀行團的570多億元計畫專戶解凍,用來全數買回392億元特別股,積欠的150多億元股利股息部分,亦已於「高鐵財務解決方案」生效後處理。
雙方簽署的兩份協議書,已將立法院交通委員會同意之「高鐵財務解決方案」各項措施,包括減資、增資、延長特許期、返還站區發開用地地上權、設置平穩機制、調降票價及撤銷仲裁案處理等,全部納入約定,並於生效時讓高鐵取得延長特許營運期35年權利。整個方案的重要事項完成後,已務實解決台灣高鐵公司長期累積虧損及財務結構性問題,讓高鐵可永續經營,邁向新里程碑,避免財務問題所可能造成的重大損失以及對公共利益的衝擊與影響,為一公、私部門合作、徹底解決BOT財務困境的成功案例。 高雄捷運公司則於營運後至102年間,受高雄地區社經發展不如預期、重大建設與開發案進度延遲、政府推行抑制私人運具的措施不易,且現有路網密集性及高雄地區大眾運輸環境難與私人運具競爭,造成運量不如預期且成長有限。為解決經營困境,高雄捷運公司經與高雄市政府研商後,基於維護整體公共利益及減輕政府負擔之考量,雙方於102 年6 月14 日完成興建營運合約修約,高雄捷運公司將原投資範圍之主要機電資產以經第三公正單位鑑價結果為基礎提前移轉予高雄市政府,高雄市政府支付高雄捷運公司部分資產移轉價金,用以償還長期借款,餘用以抵付應付未付權利金及土地租金等,有效改善財務結構。 上述財務改善方案在公部門的立法院交通委員會或高雄市議會經過相當時間的討論,無論是交通部與台灣高鐵公司、或高雄市政府與高雄捷運公司,在財務改善過程中,均盡最大的努力將財務改善方案的必要資訊透明公開、傾聽各界意見、不斷溝通修正,最後終於獲得共識。他山之石,可以攻錯。從財務解決方案初始、各細項問題之討論、折衝過程至最終解決,有許多值得關注的議題,以讓未來若有類似的BOT案例發生時,可作為醫治之參考藥方。 | zh_TW |
dc.description.abstract | Under the Amendment of the Construction and Operation Agreement (“C&O Agreement”) and the High Speed Rail Station Zone Development Termination Agreement (“SZD Termination Agreement”) signed by the Ministry of Transportation and Taiwan High Speed Rail Corporation on July 27, 2015, government-backed shareholders now hold 63.5% equity shares of Taiwan High Speed Rail Corporation, and the Financial Resolution Plan was officially launched. Both parties subsequently enter into new modified financing agreement with financing institutions, which unfroze Taiwan High Speed Rail Corporation’s accounts with the banks of approximately NT$570 billion. The amounts are used to redeem all preferred stocks of NT$392 billion, and to distribute the accumulated NT$150 billion dividends payable after the Financial Resolution Plan becomes effective.
The two agreements signed by both parties incorporate measures set upon by the Transportation Committee of the Legislative Yuan in regards to the Financial Resolution Plan, which include capital reduction, capital injection, an extension of concession, consent to terminate SZD Agreement with the MOTC, establish a financial stabilization mechanism, rates and fare adjustment, and withdrawal of arbitrated cases. This extends Taiwan High Speed Rail Corporation an additional 35 years of concession period to construct and operate the HSR as the Plan becomes effective. After the implementation of the Financial Resolution Plan, it resolves Taiwan High Speed Rail Corporation’s accumulated losses and financial structure issues, allowing the Corporation sustainable development towards a new milestone that prevents financial issues from cause significant losses and impact and influence public interests. This is a successful case of public and private sectors cooperating to resolve the BOT financial tribulation. As for the Kaohsiung Rapid Transit Corporation, after the start of its operation till the year 2013, affected by the less than expected socio-economic development in the Kaohsiung area, delay in major construction and development, the difficulty of government measures to inhibit private transportation, and also due to the fact that the existing transportation network is not concentrated enough, causing it difficult for the Kaohsiung Mass Transit to compete with the private transport. Passenger ridership was less than expected and growth was limited. To address the operation dilemma, after discussions with the Kaohsiung City Government, the Kaohsiung Rapid Transit Corporation, to maintain the public interest as a whole and to alleviate the Government's burden, signed a modified contract with the Kaohsiung City Government on June 14, 2013. Base on the modified contract, Kaohsiung Rapid Transit Corporation transfers primary electrical assets for the scope of the original investment to the Kaohsiung City Government on values based on third-party evaluations. Kaohsiung City Government pays Kaohsiung Rapid Transit Corporation transfer price of the assets for repayment of long-term debt, while the remaining is used to offset the outstanding loyalty and rental on land, which effectively improved its financial structure. The aforementioned financial improvement schemes in the public sectors to the Transportation Committee of the Legislative Yuan or Kaohsiung City Council all required long period of discussion. Both the Ministry of Transportation and Taiwan High Speed Rail Corporation, or Kaohsiung City Government and the Kaohsiung Rapid Transit Corporation, all put in great efforts during the process of financial improvement to make the required information transparent and open, listen to viewpoints from all sides, and continuous communication to amend, to finally reach a consensus. As the saying, “The stones of other hills may be used to polish gems,” an advice from others may help one’s defects. Resolution to financial crisis, from the initial draft to discussions of various details, all require compromises throughout the process to reach the final settlement. Therefore, in the future if similar issues occur in BOT cases, this study can be used as a useful guideline. | en |
