涉外經貿協定之簽署與履行-以兩岸投資保障協議下之調解制度為核心

Abstract

本研究之撰寫架構首先以歐美涉外經貿協定締結之實務運作為出發，以我國於2015年通過之《條約締結法》為基礎，針對我國兩岸協議協商之法制現況為介紹，並借鏡歐美等先進國家對於經貿協定之法制經驗，對我國未來兩岸協議之簽署以及國會監督的模式提出制度上之建議(第二章)；後對於國際上投資協定之爭端解決機制，以國際仲裁制度為核心，針對仲裁程序之開始、仲裁機構、仲裁地、仲裁人以及仲裁程序之進行與仲裁判斷之執行、救濟等投資爭端解決機制進行介紹(第三章)；並以此為基礎，進一步介紹我國過去所簽署國際投資協定下之爭端解決機制，對於我國未來可能參與之爭端解決程序以及我國相關內國法規提出分析與因應之建議(第四章)；此外，本研究亦將透過上述章節之整理與分析，聚焦於爭端解決程序之履行階段，藉由經濟部於2013年底發布《我國政府依投資條約及協定進行仲裁程序及履行仲裁判斷處理要點》及相關內國法規，針對《兩岸投保協議》下，投資人與地主國及台灣與中國間，關於投資爭端解決機制適用之現況與發展提出研析與建議(第五章)。最後，本研究將統合上述研究之分析與成果，對我國未來對於兩岸協議之簽署及爭端解決機制之履行提出建議。

Base on the practical operation of U.S. and European on international economic treaties, this thesis starts from “Regulations Governing the Processing of Treaties and Agreements” passed on 2015, to introduce the current situation and legal regime of negotiating cross-strait agreements in Taiwan. In chapter two, this thesis also absorbs the U.S. and European’s experience on regulation systems of supervising conclusion of international economic agreements, to provide suggestions on the issue of participating mechanism of Taiwan Congress in the future cross-strait agreements. In chapter three, this thesis introduces disputes resolution mechanism of international investment agreements, which focus on international arbitration mechanism. The topics include initiation of arbitration, arbitration institution, arbitration place, arbitrator, arbitration procedures, and enforcement and appeal system. Furthermore, in chapter four, this thesis analyzes every disputes resolution mechanism of international investment agreements signed by Taiwan in the past, and predicts possible disputes resolution mechanism that Taiwan may engage in the future and provides analyses and suggestions on Taiwan’s relevant domestic regulations. Subsequently, in chapter five, this thesis uses the study results from above chapters and “Directions for Conducting Arbitration and Enforcing Arbitral Awards under Investment Treaties or Agreements” issued by Ministry of Economic Affairs on 2013 and other relevant regulations, to provide analyses and suggestions to the current and future situations of investment disputes resolution mechanism between Taiwan and China under “Cross-Strait Bilateral Investment Protection and Promotion Agreement”. Finally, this thesis integrates the above study results, and provides practical suggestions on aspects of conclusion and disputes resolution mechanism for future cross-strait agreements.
