摘要: 在面對高研發風險與專利崖拉鋸的基因治療前瞻生醫領域中,新創團隊高度仰賴併購(M&A)退出,而大型藥廠則傾向以買代研,但早期新創的零營收特性常導致傳統 HHI 指數與 SSNIP 測試失靈,形成殺手併購的管制真空。為解決此法律經濟規制痛點,本研究提出 ISIAA 量化整合模型,從法律、經濟與策略管理之三維度建構評估框架:首先,在策略與財務層面,模型引入 Black-Scholes 實質選擇權模型(ROA)精算研發管線之毛策略價值(GSV),以客觀捕捉中途放棄、延遲或擴張之決策彈性;其次,在智財法理層面,引進機率性專利學說,以司法確定性因子(JCM)調節專利強度(PSC)與創新重疊度(IO),並透過風險邏輯橋接(Logic Bridge)機制,在高風險時強制限縮相關市場為極窄之技術專利市場,並以核心專利佔比更新 HHI 指數,破解零營收新創規避結合申報之漏洞,以精準求解反托拉斯阻止機率 pblock;再者,在賽局與談判定價層面,將交易失敗之沉沒成本(如反向終止費)與維持共存之雙占競爭機會成本內生化,聯立求解導出兼顧長期動態創新效率與短期法遵風險之最高合理收購價(RAAV)核心公式。經羅氏(Roche)收購 Spark 及 BMS 併購 Celgene 案(處分 Otezla)之個案模擬實證,在面臨高阻止風險下採取結構性救濟(如附條件資產處分)能有效促成最適納許均衡與帕雷托改善,成功調和短期定價(消費者福利)與長期動態創新(社會總福利)之決策邊界,這不僅能為企業與創投(VC)提供事前交易之壓力測試平台,亦能為公平交易委員會等執法機關建立符合法律明確性之量化結合審查參考。
In the frontier biomedical field of gene therapy, characterized by high R&D risks and impending patent cliffs, startup teams rely heavily on mergers and acquisitions (M&A) as an exit strategy, while major pharmaceutical firms lean toward an 'acquisition-as-R&D' strategy. However, antitrust regulation in this domain is often hamstrung by the zero-revenue status of early-stage startups, rendering traditional HHI indexes and SSNIP tests ineffective and creating a regulatory vacuum for potential killer acquisitions. To address this pain point in law and economics regulation, this study proposes the ISIAA Quantitative Integration Model, establishing a three-dimensional evaluation framework spanning law, economics, and strategic management. First, from a strategic and financial perspective, the model incorporates the Black-Scholes Real Options Analysis (ROA) to calculate the Gross Strategic Value (GSV) of R&D pipelines, objectively capturing decision-making flexibility such as abandonment, deferral, or expansion. Second, from an intellectual property and legal perspective, the model introduces the probabilistic patent theory, utilizing a Judicial Certainty Factor (JCM) to adjust Patent Strength (PSC) and Innovation Overlap (IO). Through a Logic Bridge mechanism under high-risk scenarios, the model restricts the relevant market definition to a highly narrow technology patent market and recalculates the HHI index based on the core patent share. This plugs the regulatory loophole used by zero-revenue startups to evade merger filings, thereby accurately calculating the antitrust block probability (pblock). Third, from a game-theoretic and negotiation perspective, the model internalizes both the sunk costs of transaction failure (e.g., reverse termination fees) and the duopoly opportunity costs of maintaining co-existence. By simultaneously solving these factors, the model derives the core formula for the Reasonable Antitrust Adjusted Value (RAAV), balancing long-term dynamic innovation efficiency with short-term regulatory compliance risks. Empirical simulations of Roche’s acquisition of Spark and BMS’s acquisition of Celgene (including the divestiture of Otezla) demonstrate that implementing structural remedies (such as conditional asset divestitures) under high blocking risks can facilitate optimal Nash equilibria and Pareto improvements, successfully reconciling the boundary between short-term pricing (consumer welfare) and long-term dynamic innovation (total social welfare). This framework provides a pre-transaction stress-testing platform for corporations and venture capital (VC) firms, while offering antitrust regulators, such as the Fair-Trade Commission, a robust quantitative merger review standard that upholds legal certainty.
